1. Identification

These general terms and conditions of sale govern all sales of products made by All-Chimie through its catalogs or its Internet site all-chimie.com and its brands.

Placing an order for these products therefore implies the buyer's full and unreserved acceptance of these terms and conditions to the exclusion of any other provision. In the absence of express acceptance, any condition to the contrary on the part of the purchaser shall be unenforceable against All-Chimie. The fact of not availing oneself at a given moment of any clause of the present general conditions of sale may not be interpreted as a waiver of the right to avail oneself of such clause at a later date.

Should any provision of these terms and conditions be declared null and void or inapplicable in law, the other provisions shall not be affected and shall remain fully applicable.

In the absence of any such provision, it shall be deemed to be governed by the practices in force in the distance-selling sector whose companies are headquartered in France.

Illustrations, photos, descriptions and technical specifications appearing on our website or in our catalogs are non-contractual.
They are provided for information only and may be modified at any time by All-Chimie or its suppliers without notice.

Minor differences in presentation or technical developments do not affect the validity of the sale.
All-Chimie cannot be held responsible for errors or omissions in these materials.

All-Chimie also reserves the right to refuse any order from a customer with whom there is a dispute relating to the payment of a previous order.

2. Price list

2.1 Price list

All prices are quoted in euros and are subject to variation during the period of validity of the catalog in accordance with changes in the price of raw materials, it being understood that the products ordered are invoiced at the price in force on the day the order is registered. Any change in taxes (VAT, excise duties, etc.) or currency parities may be passed on without notice, including to orders in progress, from the legal date of application. Furthermore, the prices shown for each item are expressed in euros excluding VAT and in euros including VAT.

2.2 Shipping costs

Shipping costs are free only for orders placed on our website, for amounts greater than 200 € excluding VAT, and delivered in mainland France. For all other orders, a contribution to packaging and shipping costs will be invoiced in addition. The amount of this contribution is that in force on the date the order is registered. For deliveries outside mainland France, additional charges apply, as well as for packaging, assembly and tropicalization.
Shipping costs are calculated according to the value of the order, for all deliveries within mainland France (including Corsica):
  • For orders over 200 € excluding VAT: free shipping.
  • For all orders between 100 € excluding VAT and 200 € excluding VAT: flat-rate shipping charge of 20 € including VAT .
  • For all orders below 100 € excluding VAT: a flat rate of 10 € including VAT for logistics participation, plus a supplement of 20 € including VAT for shipping costs.
These amounts apply to orders placed on our website or via our usual ordering channels, and may be revised without notice in the event of price changes by our logistics partners.
For deliveries outside mainland France (including DROM-COM and export), specific charges will apply. Please contact our customer service department for a personalized quote.

Standard packaging required for the transport of our products by land (road or courier) is included in our prices. However, any specific packaging required for air or sea shipments, or in application of particular regulatory standards (e.g. hazardous chemicals, ADR, IATA, etc.), will be invoiced separately, as indicated on the quotation or order confirmation.
Similarly, any costs relating to the assembly, installation, commissioning or tropicalization of equipment will be invoiced in addition, on request and depending on feasibility.

2.3 Export shipping costs

Depending on your destination, shipping costs may need to be processed manually. Please request a quote for exact costs.

2.4 Reservation of title

All-Chimie reserves ownership of the goods delivered until full payment of all sums owed by the buyer. The mere signature by the purchaser of the order form or delivery note for the goods shall imply acceptance by operation of law of the present retention of title clause. In accordance with French law no. 80-335 of May 12, 1980, All-Chimie retains ownership of the goods delivered until full payment of the price, including expenses and incidentals. Payment shall be deemed to have been made only upon actual collection of the sums due, and not upon the mere remittance of a cheque, bill of exchange or other form of payment.

Throughout the period during which the goods remain the property of All-Chimie, the purchaser shall refrain from reselling, transforming, incorporating or transferring them to a third party, without the prior written consent of All-Chimie. In the event of non-compliance with this clause, or in the event of unauthorized resale, All-Chimie reserves the right to claim the resale price directly from the third party purchaser. The purchaser's mere signature of the purchase order or delivery note for the goods implies full acceptance of this reservation of title clause.

2.5 Specific products

Certain products sold by All-Chimie, in particular chemicals, hazardous substances, regulated reagents, live or preserved biological products, equipment subject to authorization or products for dual use, are subject to special conditions of sale, export, storage, transport or use.
The purchase of these products may be subject to the prior provision of mandatory documents, such as :
  • a certificate of use,
  • administrative authorization (e.g. drug or explosive precursors, classified substances),
  • a copy of identification or SIRET number,
  • or any other proof required by current legislation.
All-Chimie reserves the right to refuse an order or delay shipment until the required supporting documents are provided, or if the legal conditions are not met.

In addition :
  • The export of certain products to certain countries or geographical areas is subject to customs or regulatory restrictions. In such cases, a pro forma invoice will be issued, including transport and documentation costs, and shipment will only be initiated after full validation.
  • Quantities and packaging may be adapted or limited to comply with local or international legal requirements.
  • All-Chimie declines all responsibility in the event of import refusal, customs blocking or prohibition of use due to failure to comply with regulations applicable in the country of destination.

3. Internet ordering

Orders placed via the allchimie.com website are acknowledged by an e-mail sent to the address indicated by the purchaser. This automatic or manual acknowledgement of receipt confirms the order, its content and its date of registration.

All-Chimie reserves the right to refuse or cancel any order for legitimate reasons, in particular :
  • in the event of an obvious error in the price or description of a product,
  • in the event of product unavailability,
  • if a payment dispute is in progress with the buyer,
  • or if the buyer's behavior suggests fraudulent intent or improper use of the products.
The purchaser is entirely responsible for the accuracy of the information provided at the time of ordering, in particular product references, quantities, delivery and invoicing details. All-Chimie cannot be held responsible for any input error resulting in incorrect delivery. In such cases, return or reshipment costs will be borne by the purchaser.

Orders placed by any other means (email, telephone, paper order form, fax) are also subject to the present General Terms and Conditions of Sale.

All-Chimie reserves the right to request additional supporting documents (e.g. administrative authorization, certificate of use, SIRET number) for certain products subject to specific regulations.

4. Conditions of use

Our products are exclusively intended for professional and laboratory use by qualified personnel.
It is the responsibility of the purchaser/user to comply strictly with all applicable laws and regulations, in particular those relating to workplace safety, health and environmental protection, as well as specific standards applicable to certain types of products (chemicals, electrical equipment, measuring devices, etc.).

Any improper or inappropriate use, or use without the requisite skills, is the sole responsibility of the user.
In the event of non-compliance with these conditions, All-Chimie declines all responsibility and reserves the right to refuse the application of contractual guarantees.

The purchaser also acknowledges that certain products require personal protective equipment (PPE) and/or specific installations for safe use.

5. Delivery

5.1 Delivery terms

Products are delivered to the address indicated by the purchaser at the time of ordering. Any error in the information provided is the responsibility of the customer.
Deliveries are made by carrier or courier service, in standard mode (road, door-to-door), unless otherwise agreed.

5.2 Delivery times

Delivery times are given for information only. All-Chimie makes every effort to meet them, but a reasonable delay does not justify cancellation of the order or entitle the customer to compensation.
Delivery times may vary according to :
  • product availability,
  • geographical area,
  • export or customs conditions,
  • or busy periods.

5.3 Transfer of risk

Delivery is deemed to have taken place as soon as the goods are taken over by the carrier (ex-warehouse), even if transport is organized by All-Chimie.
From this moment, the risks of loss, theft or deterioration are transferred to the purchaser, who is invited to insure himself at his own expense against any possible damage.

5.4 Receipt Reservations

On receipt of the packages, the purchaser must immediately check the condition of the goods and, if necessary, make any clear, precise and complete reservations on the delivery note (e.g.: missing package, visible damage, reference error).
Any complaint concerning delivery must be reported to All-Chimie within 3 working days of receipt, accompanied by all supporting documents (photos, copy of annotated delivery note, etc.).
Failure to comply with this procedure will result in the delivery being deemed compliant.

5.5 Absence or refusal to accept

In the event of the recipient's absence or unjustified refusal to accept delivery, the cost of redelivery, temporary storage or return will be borne exclusively by the purchaser.

5.6 Export delivery

For all orders outside mainland France, customs fees and formalities are the responsibility of the purchaser, unless otherwise stipulated.
A specific quotation may be drawn up, specifying shipping conditions (Incoterm, mode of transport, estimated costs, documents required). Shipping will only be initiated after acceptance of this quotation and receipt of payment, where applicable.

6. Acceptance - Reservations and responsibilities

Upon receipt of the goods, the purchaser or his representative must check the external and internal condition of the packages, in the presence of the carrier.
In the case of sensitive or perishable goods, this check must be carried out immediately.
In the event of any anomaly (damaged or missing package, breakage, leakage, etc.), it is mandatory to:
  1. Write precise, complete and explicit reservations on the delivery note, in the presence of the delivery person. Vague statements such as "subject to unpacking" have no legal value.
  2. Confirm these reservations by registered letter with acknowledgement of receipt to the carrier within a maximum of 72 hours (article L. 133-3 of the French Commercial Code).
  3. Send a copy of this letter to All-Chimie within the same timeframe, together with any useful supporting documents (photos, scan of annotated delivery note, etc.).
⚠️ : Any claim that is late, imprecise or does not comply with this procedure will be inadmissible.

For deliveries outside metropolitan France, shipments are not automatically insured.
It is up to the purchaser to expressly request transport insurance, which will then be invoiced separately and will appear on the quotation or pro forma invoice.

In the absence of an explicit request for insurance, goods travel at the buyer's risk, from the moment they are taken over by the carrier.
The consignee must :
  • check the condition of the goods on receipt, in accordance with the procedure described in point 5.4,
  • make any necessary reservations within 48 hours with the local carrier, in accordance with customs and trade regulations in force in the country of delivery,
  • complete customs clearance formalities in good time, failing which All-Chimie shall have no recourse in the event of loss, breakage, delay or refusal of customs clearance.

7. Terms of payment

All-Chimie offers several secure payment methods to simplify your purchases, while guaranteeing a high level of protection:

Payment by credit card (valid for all customers)
  • Accepted networks: Visa, MasterCard, Carte Bleue
  • Secured by 3D Secure and SSL encryption
  • Shipment upon bank validation

Payment by PayPal (valid for all customers)
  • No exchange of bank details
  • Shipment after payment confirmation

Payment by bank transfer (valid for professionals)
  • Payment due within 30 days of the end of the month, subject to prior agreement
  • If no prior agreement has been reached, the order will be dispatched once payment has been received.
  • Please indicate the order number in the bank transfer details.

Discount

No discount will be granted for early payment, unless expressly agreed otherwise in writing.


Late payment

Any delay in payment on the due date will automatically and without prior notice lead to the application of late payment penalties calculated at a rate equal to three times the legal interest rate in force. These penalties run from the day following the due date until full payment has been made.


Flat-rate collection indemnity

In accordance with articles L.441-10 and D.441-5 of the French Commercial Code, a flat-rate indemnity of €40 for collection costs will automatically be due in the event of late payment.
If the actual collection costs incurred by All-Chimie exceed this amount, additional compensation may be demanded on presentation of supporting documents.


Commercial protection clause
In the event of non-payment, deterioration of customer credit or non-compliance with agreed terms, All-Chimie reserves the right to :
  • suspend or cancel orders in progress,
  • modify the terms of payment,
  • require full payment before shipment,
  • or demand an adequate bank guarantee.

8. Guarantees

All-Chimie sells products exclusively to professionals, for use in laboratories or technical environments. As such, sales are subject to the rules of common law applicable to relations between professionals.

8.1 Contractual warranty

Products sold by All-Chimie benefit from a contractual supplier's warranty against material or manufacturing defects.
Unless otherwise specified, the duration of this warranty is 12 months from the date of delivery.

This warranty is limited to the replacement or repair of the product recognized as defective by the manufacturer or All-Chimie, to the exclusion of any indemnity or damages.
It does not cover disassembly/reassembly costs, operating losses or consequential damages.


8.2 Warranty conditions
To benefit from the warranty, the professional customer must :
  • notify the defect in writing within 7 working days of its discovery,
  • return the product concerned, with All-Chimie's prior authorization, in its original packaging, accompanied by the delivery note and/or invoice,
  • ensure that the product has not been modified, damaged or handled under abnormal conditions (humidity, temperature, voltage, corrosive products, etc.).

8.3 Warranty exclusions
The warranty does not apply:
  • normal wear and tear or misuse,
  • in the event of use that does not comply with the manufacturer's instructions or recommendations,
  • for consumable or perishable parts (e.g. seals, filters, bulbs, electrodes),
  • if the product has been disassembled or repaired by an unauthorized third party.
Certain products (chemical reagents, sterile materials, customized or short-life products) may be excluded from any warranty, as indicated on the quotation or product sheet.

8.4 Specific commercial warranty

For certain technical or electronic equipment, an extended warranty or maintenance contract may be offered as an option. This warranty is then the subject of a separate contract or specific quotation signed by both parties.

9. Liability

9.1 Professional use and buyer's obligations

Products marketed by All-Chimie are exclusively intended for professional use in laboratories by qualified users.
It is the purchaser's responsibility to check that the products ordered are suitable for the intended use and comply with the regulations applicable to his activity.
The purchaser is responsible for the conformity of the installation, use, storage, maintenance and disposal of the products in accordance with the standards in force, the manufacturer's instructions, and the rules of safety, hygiene and public health.

9.2 Limitation of liability

All-Chimie's liability is strictly limited to the replacement or refund of the non-conforming or defective product, to the exclusion of any other compensation. All-Chimie cannot be held liable for:
  • indirect damage (loss of production, data, sales, etc.),
  • consequences of inappropriate use,
  • late delivery, except in the case of proven gross negligence or wilful misconduct.
No penalty or compensation for delay may be demanded without prior written agreement.

9.3 Advice and recommendations

Any technical recommendation made by All-Chimie is given as an indication, in good faith and according to the knowledge available at the time of the exchange.
This information constitutes neither a contractual commitment nor a guarantee of suitability for a particular need, which only the customer is in a position to assess.

9.4 Force majeure

All-Chimie shall not be held liable in the event of an event beyond All-Chimie's control preventing or delaying the performance of its obligations.
In particular, the following are considered to be cases of force majeure or fortuitous events, without this list being limitative
  • natural disasters (fires, floods, earthquakes, etc.),
  • epidemics, pandemics,
  • wars, armed conflicts, acts of terrorism,
  • transport blockades, total or partial strikes (including by suppliers or carriers),
  • administrative restrictions or governmental decisions.
In the event of force majeure, performance of the contract is suspended. If the event persists beyond 30 days, either party may request cancellation of the order without compensation.

9.5 Indicative nature of commercial documents

Illustrations, photographs, technical descriptions or texts in catalogs or on the website are provided for information purposes only.
They are subject to change without notice.
All-Chimie cannot be held responsible for any errors or omissions, or for minor discrepancies between products delivered and visual presentations.

10. Intellectual property

All elements present on All-Chimie's sales media - including but not limited to: text, trademarks, logos, trade names, drawings, models, photographs, data sheets, graphics, databases and catalogs - are the exclusive property of All-Chimie or its suppliers.
These elements are protected by the provisions of the French Intellectual Property Code and/or copyright, and may not be reproduced, used, represented, copied, adapted, translated or modified, even partially, without prior written authorization from All-Chimie.
It is strictly forbidden for any user, customer or third party :
  • to use all or part of the contents or visuals for commercial or communication purposes, without prior agreement ;
  • reproduce or imitate any trademark or distinctive sign belonging to All-Chimie or its partners;
  • extract or reuse substantially or repeatedly all or part of the databases made available.

Any unauthorized use is likely to constitute an act of counterfeiting, punishable by articles L.335-2 et seq. of the French Intellectual Property Code, and may give rise to civil and/or criminal proceedings.

All-Chimie reserves the right to take all appropriate measures to stop any infringement of its rights, including taking legal action.

11. Money-back guarantee and right of withdrawal

For the sake of clarity and quality of service, All-Chimie allows the professional buyer to benefit from a right of withdrawal under the conditions defined below.


Withdrawal period

The buyer has a period of 14 calendar days from the date of receipt of the product to notify his or her wish to cancel, without having to justify his or her decision or fill in any specific form.


How to exercise this right
The buyer may exercise his right of withdrawal by any written means, provided that the request is clear and unequivocal, and mentions at least:
  • his identity,
  • the order number concerned,
  • and the desire to withdraw.

Return procedure
Once your request has been accepted, our customer service department will send you a returns document with a file number.
This document must be :
  • inserted inside the parcel,
  • and glued to the outside of one of the returned packages for quick identification.
Returned products must be :
  • complete (accessories, documentation, etc.),
  • unused and in their original condition,
Any non-conforming return (damaged, incomplete, out of date, or without a visible return number) may be refused.

Refund costs and conditions
All-Chimie will cover all return shipping costs.
The buyer may request :
  • a full refund (product and initial delivery charges),
  • or a standard exchange.

Refunds will be made within 14 days of receipt of the returned product, using the same method of payment as that used for the order.

Order cancellation before shipment

It is possible to cancel an order before it has been dispatched.

Delivery outside mainland France

In the event of a return concerning an order delivered outside mainland France, the buyer must contact the export department beforehand, in order to organize the procedure and facilitate customs formalities.

Processing methods
As our products are essentially consumables, small equipment or chemical products, after-sales service requests mainly concern :
  • defects noted on receipt (e.g.: breakage, product error),
  • non-conformity with advertised specifications.
Each request is analyzed on a case-by-case basis, and All-Chimie will propose the appropriate solution: replacement, credit note or refund, depending on the circumstances.

13. Applicable law and jurisdiction

These terms and conditions of sale are governed by French law.

In the event of any dispute relating to the interpretation, validity or performance of these terms and conditions, the parties agree to seek an amicable solution. Failing amicable resolution within a reasonable time, any dispute shall be submitted to the exclusive jurisdiction of the Commercial Court of All-Chimie's registered office, even in the event of multiple defendants, incidental claims, warranty claims or summary proceedings.

The fact that payments are domiciled outside France or that bills of exchange stipulate a different place of performance shall constitute neither a novation nor a waiver of the present jurisdiction clause.

14. Personal information

All-Chimie attaches great importance to protecting the personal data of its professional customers.

Data collected when placing an order or creating a customer account is processed by All-Chimie for administrative management, order processing, invoicing, customer follow-up, statistical purposes and commercial prospecting, in compliance with applicable regulations.

This information is strictly confidential and is only shared with All-Chimie's service providers or technical partners to the extent necessary for the performance of the contract (delivery, billing, support, etc.).

In accordance with French law no. 78-17 of January 6, 1978, as amended, and Regulation (EU) 2016/679 (RGPD), any individual concerned has the right to access, rectify, limit, oppose, port and delete his or her data.

These rights may be exercised by simple written request, accompanied by proof of identity, addressed to:

15. Modification of general sales conditions

All-Chimie reserves the right to modify these General Sales Conditions (GSC) at any time, in particular to adapt them to legal, regulatory, jurisprudential, technical or commercial developments.

The applicable GSC are those in force at the date of the order placed by the Buyer. Any new version published on the allchimie.com website will only apply to sales concluded after its publication online.

The Buyer is therefore invited to regularly consult the latest version available on the site, which can be accessed at any time in the footer, or by sending a request to All-Chimie.

16. Miscellaneous provisions

16.1. Non-waiver

All-Chimie's failure to invoke any of the clauses of these general terms and conditions of sale at a given time shall not be construed as a waiver of its right to invoke any of said clauses at a later time.

16.2. Severability

Should any provision of these general terms and conditions of sale be declared null and void or inapplicable, the other provisions shall not be affected and shall remain fully applicable.

16.3. Assignment of contract

All-Chimie reserves the right to assign or transfer all or part of the rights and obligations arising from the present contract to any third party of its choice, in particular in the event of restructuring or development of the company. Such assignment shall be without prejudice to the purchaser.

16.4. Amicable settlement of disputes

In the event of a dispute relating to the performance or interpretation of the contract, the parties undertake to seek an amicable solution before taking any legal action.

16.5. Electronic orders

Validation of an order by electronic means (in particular via the allchimie.com website or by e-mail) implies express acceptance of the present terms and conditions of sale and has the value of proof between the parties.

16.6. Export - Duties and customs formalities

For sales outside the European Union, the buyer is solely responsible for payment of customs duties and import taxes applicable in his country, and for completing all customs formalities required for entry of the products into his territory.

16.7. Certificates and regulatory documents

Certain product categories may, on prior request, be accompanied by certificates of conformity, analyses or technical data sheets. These documents will be sent if the manufacturer or supplier makes them available.
